Nexus Mutual moves to sunset legal entity, lift KYC requirements

Published at: April 23, 2021

In a move that could point toward greater decentralization and wider access, the Nexus Mutual community is currently considering a proposal to sunset the coverage protocol’s legal entity and lift Know Your Customer (KYC) burdens currently necessary to interact with the platform.

The proposal was announced on Thursday in a Tweet by Christopher Heymann, co-founder of investment fund 1kx. In it, Heymann notes that Nexus originally launched with a “a UK-based limited company” in order to protect the team from legal liabilities and tax-related issues.

1/ Attention Nexus Mutants: Nexus Mutual is evolving. We are launching Operation Wartortle with the goal of sunsetting the legal entity behind Nexus Mutual, which would remove the requirement to KYC for NXM token holders. https://t.co/BKg6Jdkips

However, Heymann argues that the decentralized autonomous organization, with over 3,500 global members, is now sufficiently decentralized and no longer needs a “legal wrapper” in the form of a limited company.

In addition to shedding a superfluous legal entity, the proposal also argues that the user KYC requirements have grown onerous and are limiting Nexus’ growth:

“While these efforts protected Nexus Mutual during the early days of inceptions, these limitations also imposed barriers to global permissionless participation and ownership of Nexus Mutual. It complicated the user journey of acquiring smart contract coverage, prevented individuals from certain countries from participating in Nexus Mutual, and represented a challenge in properly distributing the $NXM token to the DeFi ecosystem.”

As a result, 1kx requests up to $50,000 in the proposal to perform “legal due diligence” on sunsetting the legal entity with the help of law firm Norton Rose Fulbright. This would result in a legal memo outlining a strategy to wind down the entity, which would then be voted on by the DAO as well.

In a statement to Cointelegraph, Nexus Mutual co-founder Hugh Karp said that moving away from Nexus' previous structure is a natural evolution.

"Nexus Mutual's legal structure was primarily put in place to provide legal and regulatory certainty. It was designed in 2017 before MakerDAO was even on mainnet, so it's certainly due for a rethink," he said. "It's great to see 1kx, an early supporter of Nexus, take this forward."

KYC meets DeFi

Up to this point, Nexus Mutual has been a case study for the complications that can arise when semi-centralized real-world legal entities attempt to interact with or provide services to the decentralized finance marketplace. While Nexus’ membership token, NXM, is tied to a bonding curve and can only be bought through Nexus and by members who have completed KYC verification, WNXM is a wrapped version that can be freely traded on decentralized exchanges.

This has led to a curious tokenomic oddity where NXM and WNXM can — and often do — trade at vastly different prices, and WNXM has long been considered a burden on NXM’s price, dragging it down via arbitrageurs whenever WNXM sits below parity with its parent asset.

Despite the user and trader friction, the use case has a clear product-market fit. Nexus Mutual’s platform is currently offering 285,153 Ether (ETH) and 67,497,888 Dai worth of cover across nearly 4,000 policies, worth an aggregate $721,332,712. These policies are earning NXM stakers a total of $20,350,781 in annual premiums.

Lifting the KYC burden could grow these metrics considerably, as privacy-focused users could gain access to policies without revealing their real-world identities. Likewise, it could be a boon for NXM’s price, as the market for WNXM would presumably shrink as speculators could purchase exposure more easily directly through the Mutual.

In a statement to Cointelegraph, a representative for Nexus declined to take a side on the proposal and called on the community to weigh in:

“We strongly encourage all community engagement to develop and grow the mutual. There are wide implications on both sides of this particular discussion and we encourage all members to participate in the vote for this proposal.”

NXM is down 12% on the day to $88.72 amid a wide market rout, while WNXM is also down 12% to $69.30.

‘Better as friends’: DeFi protocols Yearn and Cover announce cessation of merger
Decentralized finance (DeFi) protocols Yearn Finance and Cover have announced today the end of a protocol merger process initiated in November last year. The two protocols were initially linked during a spree of a half-dozen Yearn acquisitions, mergers, or collaborations, the exact term depending on the project. The split comes as a surprise to many, given that Cover, a protocol that provides coverage or insurance for DeFi deposits, was a natural fit for yield vault provider Yearn. The teams had also collaborated in crisis situations in the past, such as when Cover experienced an “infinite mint” hack in late December …

Proposal seeks to overhaul Aave’s $375 million Safety Module
In a largely celebratory community call devoted in part to commemorating lending protocol Aave’s January 8th “Aaveversary” — a full year of Aave on Ethereum mainnet — there was also a look into Aave’s possible future: a proposal from Delphi Digital seeking to fundamentally alter Aave’s Safety Module and create a new insurance product offering. Currently, $aave governance token holders can stake their tokens in the Safety Module, a pool of liquidity designed to help insure the protocol against a “shortfall event” such as a smart contract exploit. Stakers risk up to 30% of funds they lock in the Module, …

NEM, Augur and District0x price push higher while Bitcoin trades below $32K
Bitcoin (BTC) is on the verge of closing another week that saw the price dip closer to $30,000 but the same bearish observation cannot be made for all altcoins. On Friday, several smaller-cap altcoins managed to shake off the bearish assault and post-double-digit gains before traditional markets closed for the weekend. Data from Cointelegraph Markets Pro and TradingView shows that the top movers over the past 24 hours were NEM (XEM), Augur (REP) and district0x (DNT). It's worth noting that four of the top seven gainers are layer-one protocols, an interesting development that comes at a time when Ether’s (ETH) …

DeFi coverage protocol expands protection against centralized exchange hacks
Decentralized finance coverage protocol Nexus Mutual has expanded the list of centralized exchanges eligible for incident protection. Users trading on Binance, Kraken, Coinbase and Gemini are now able to buy protection in the event of an exchange hack or prolonged withdrawal downtime. The project announced the new integrations on Monday as part of their “custody cover” initiative. Users who buy coverage will be eligible for compensation if the custodian is hacked and the user loses more than 10% of their funds. Alternatively, the claim can be honored if the custodian suspends withdrawals for more than 90 days. The program was …

ENS’ director of operations says that DAO-based governance ‘has always been the plan’
On Monday, distributed domain protocol Ethereum Name Service, or ENS, launched its own governance token in an effort to distribute voting rights for its new decentralized autonomous organization, or DAO, to active users of the ecosystem. Cointelegraph spoke with Brantly Millegan, ENS’ director of operations, to learn more about the nonprofit’s decision to shift to a DAO model and his thoughts on the power of the ENS community: “ENS is an open public protocol. The core components of ENS are decentralized and self-running (e.g., no one can take away another person’s .ETH name), but there are a few things that …
